What Does a Corporate Reorganization Achieve?

Reorganization Type What It Involves and Why It Is Done
Section 85 holdco insertion Move operating company shares to a new holding company at ACB, tax-deferred, so section 112 intercorporate dividends move cash tax-free and away from business creditors (Form T2057).
Estate freeze (section 86) Exchange common shares for fixed-value preferred shares so future growth goes to children or a family trust.
CCPC purification Move excess cash and passive investments to a holdco to meet the 90% and 50% QSBC asset tests for the lifetime capital gains exemption.
Butterfly reorganization (section 55(3)) Split a corporation tax-free for shareholder separations or pre-sale asset separation.
Incorporating a sole proprietorship Roll business assets into a corporation at an elected amount to defer gains and access the small business deduction.
Capital dividend account planning Pay out the CDA tax-free using Schedule 89 and Form T2054.
Post-reorganization T2 compliance Update Schedules 50, 89 and 11 for the new structure.

How Does a Section 85 Rollover Work?

You transfer eligible property, such as shares, real estate or goodwill, to a taxable Canadian corporation and take back shares. The parties jointly elect an amount between ACB and fair market value on Form T2057. Electing at ACB defers the full gain until a future arm’s-length sale. We model the elected amount, share consideration and any boot before filing.

When Should You Consider a Reorganization?

Consider one when retained earnings are building up, a sale is planned within 2 to 5 years, you want future growth to pass to children or a trust, co-shareholders want to separate, non-qualifying assets need to move before a sale, or passive income is grinding your small business deduction.

Frequently Asked Questions

What is the difference between section 85 and section 86?

Section 85 moves property into a corporation in exchange for shares with a joint T2057 election. Section 86 exchanges share classes inside one corporation without a new entity and is the main estate freeze tool. The two are often combined.

No. It defers the gain until the shares are sold, redeemed or deemed disposed of on death. Deferral has real value, and the lifetime capital gains exemption may shelter the gain later with advance planning.

The CRA may accept it with a penalty of $100 per month, up to $8,000. If refused, the transfer is deemed to happen at fair market value and the full gain is taxed in that year.

Yes. Your CPA designs the tax structure and files the elections, while your lawyer drafts share issuances, articles, agreements and minute book updates. We can refer trusted corporate counsel in the GTA.

The 2024 GAAR amendments added an economic substance test and a 25% penalty. Standard structures like section 85 rollovers, estate freezes and purifications remain well supported when they have a business purpose and a written plan.

A simple holdco insertion using section 85 takes about 4 to 8 weeks. Complex reorganizations with multiple entities, share class changes or capital dividend elections take about 8 to 16 weeks.
